This document is an electronic record within the meaning of the Information Technology Act, 2000 and the rules framed thereunder. This electronic record is generated by a computer system and does not require any physical or digital signatures.

1. Acceptance of Terms

This is an agreement between you ("you," "your," or "User") and Xomini ("Xomini," "we," "our," or "us") that governs your use of the services offered by Xomini through its website www.xomini.co ("Website"), mobile applications, and any other medium through which Xomini provides its services (collectively, the "Platform"). By accessing, browsing, or using any part of the Platform, you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, please do not access or use the Platform.

2. Changes to Terms

Xomini reserves the right to modify, update, or change these Terms at any time without prior notice. Your continued use of the Platform after any such changes constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically. All amended Terms become effective upon posting to the Platform.

3. Description of Services

Xomini is a local e-commerce and business directory platform that connects Users with local businesses, service providers, and vendors ("Business Listings" or "Vendors"). Our services include but are not limited to:

  • Business search and discovery through categories, location filters, and keywords
  • Business listing and profile pages with contact details, images, and descriptions
  • Business website generation for listed businesses
  • User reviews, ratings, and feedback functionality
  • WhatsApp and direct contact facilitation between Users and Vendors
  • Advertising and promotional services for businesses

Xomini acts solely as an intermediary platform connecting Users with Vendors and does not participate in, endorse, or guarantee any transaction between them.

4. Eligibility

Use of the Platform is available only to persons who can form legally binding contracts under the Indian Contract Act, 1872. Persons who are "incompetent to contract" within the meaning of the Indian Contract Act, 1872, including minors (under 18 years of age) and un-discharged insolvents, are not eligible to use the Platform. If you are a minor, you may use the Platform only under the supervision and consent of your parent or legal guardian. Xomini reserves the right to terminate your access if it is discovered that you do not meet the eligibility criteria.

5. User Account and Responsibilities

If you create an account on the Platform, you are responsible for:

  • Maintaining the confidentiality of your login credentials and account information
  • All activities that occur under your account or password
  • Ensuring that all information provided is accurate, current, and complete
  • Notifying Xomini immediately of any unauthorized use of your account

If you provide information that is untrue, inaccurate, not current, or incomplete, Xomini reserves the right to suspend or terminate your account and refuse any current or future use of the Platform.

6. Use of Platform Materials

Xomini uses a diverse range of information, text, photographs, designs, graphics, images, sound and video recordings, animation, and other materials (collectively, "Materials") on the Platform. These Materials are provided for your personal and non-commercial use only.

You may view, copy, and download Materials from the Platform for internal, non-commercial, informational purposes only. You are prohibited from:

  • Data mining, scraping, crawling, or using automated processes to extract data from the Platform
  • Compiling a collection of listings to create a competing product or service
  • Using any Materials for unsolicited commercial emails or spam
  • Modifying, reproducing, or distributing Materials without written consent from Xomini
  • Removing any copyright, trademark, or proprietary notices from the Materials

7. Intellectual Property Rights

The Xomini name, logo, and all related product and service names, design marks, and slogans are trademarks and service marks owned by Xomini. All other trademarks and service marks on the Platform are the property of their respective owners. You are not authorized to use any Xomini name or mark in any advertising, publicity, or commercial manner without prior written consent from Xomini.

All rights, title, and interest including trademarks and copyrights in respect of the domain name and Platform content are reserved with Xomini. Unauthorized access, reproduction, redistribution, transmission, or dealing with any information contained in the Platform, either in whole or in part, is strictly prohibited.

8. Business Listings and Vendor Services

Xomini provides a platform for Vendors to list their businesses and for Users to discover and connect with them. Please note:

  • Xomini does not examine, verify, or guarantee the quality, safety, legality, or any other aspect of the products or services offered by Vendors
  • All commercial and contractual terms including price, delivery, warranties, and after-sales services are offered by and agreed between the User and Vendor alone
  • Xomini does not participate in any transaction between Users and Vendors
  • Purchasing goods or availing services from Vendors listed on the Platform shall be at your own risk
  • Users must satisfy themselves about all relevant aspects before entering into any transaction with a Vendor

9. Reviews, Ratings & User-Generated Content

By submitting reviews, ratings, comments, images, or any other content ("User Content") on the Platform, you:

  • Grant Xomini an irrevocable, non-exclusive, worldwide, perpetual, royalty-free license to use, reproduce, modify, distribute, and display such content
  • Confirm that you have the right to grant such license and that the content is accurate
  • Accept responsibility for all content you submit

Xomini reserves the right, but has no obligation, to monitor, edit, modify, or remove any User Content that it deems inappropriate, offensive, or in violation of these Terms. Content that is obscene, defamatory, threatening, misleading, infringes intellectual property rights, violates applicable laws, or contains malicious code will be removed without notice.

10. Privacy Policy

Xomini is committed to protecting the privacy and confidentiality of personal information collected from Users. Our collection, use, and disclosure of personal information is governed by our Privacy Policy, which forms an integral part of these Terms. By using the Platform, you consent to the practices described in the Privacy Policy.

11. Content Disclaimer

Xomini communicates information provided by Vendors, content partners, users, and other third parties. While every attempt has been made to ascertain the authenticity of content on the Platform:

  • Xomini has no control over the accuracy, integrity, or quality of third-party content
  • Materials on the Platform may include technical inaccuracies or typographical errors
  • Xomini makes no guarantees regarding the authenticity, currency, or legality of any content
  • All product and service data, including prices and availability, is subject to change without notice

Links to external websites may be provided for convenience. Xomini does not endorse, control, or take responsibility for the content, functionality, or security of external websites.

12. Warranty Disclaimer

THE PLATFORM AND ALL MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Xomini does not warrant that:

  • The Platform will be uninterrupted, timely, secure, or error-free
  • The results obtained from the Platform will be accurate or reliable
  • Any defects in the Platform will be corrected
  • The Platform is free of viruses or other harmful components

Any reliance upon the Platform, Materials, or any use of the Internet generally shall be at your sole risk.

13. Limitation of Liability

IN NO EVENT SHALL XOMINI, ITS OFFICERS, DIRECTORS, EMPLOYEES, PARTNERS, OR SUPPLIERS BE LIABLE TO YOU FOR ANY DAMAGES WHATSOEVER, INCLUDING DIRECT, SPECIAL, PUNITIVE, INDIRECT, CONSEQUENTIAL, OR INCIDENTAL DAMAGES, OR DAMAGES FOR LOSS OF PROFITS, REVENUE, USE, OR DATA, WHETHER BROUGHT IN WARRANTY, CONTRACT, INTELLECTUAL PROPERTY INFRINGEMENT, TORT (INCLUDING NEGLIGENCE), OR OTHER THEORY, EVEN IF XOMINI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE, ARISING OUT OF OR CONNECTED WITH THE USE OR INABILITY TO USE THE PLATFORM.

THE USER ASSUMES ALL RESPONSIBILITY AND RISK FOR THE USE OF THE PLATFORM AND THE INTERNET GENERALLY. THE FOREGOING LIMITATIONS SHALL APPLY TO THE FULLEST EXTENT PERMITTED UNDER APPLICABLE LAW.

14. Indemnification

You agree to indemnify and hold harmless Xomini, its parent companies, subsidiaries, affiliates, officers, directors, agents, and employees from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of:

  • Your breach of these Terms
  • Your violation of any law or the rights of any third party
  • Any content you submit, post, or transmit through the Platform
  • Your use of the Platform in any unauthorized manner

These indemnification obligations will survive any termination of these Terms.

15. Prohibited Activities

While using the Platform, you shall not:

  • Post or transmit any content that is unlawful, threatening, abusive, defamatory, obscene, or otherwise objectionable
  • Impersonate any person or entity or misrepresent your affiliation
  • Engage in any activity that interferes with or disrupts the Platform
  • Attempt to gain unauthorized access to any portion of the Platform or its systems
  • Use the Platform for any illegal or unauthorized purpose
  • Collect or harvest personal information of other users without consent
  • Upload or transmit viruses, malware, or any other malicious code
  • Engage in fraudulent activity, financial manipulation, or deceptive practices

16. Third-Party Sites and Services

Your correspondence or dealings with Vendors or third parties found on or through the Platform, including payment and delivery of goods or services, are solely between you and such parties. You assume all risks arising out of your transactions over the Internet, and you agree that Xomini is not responsible or liable for any loss resulting from the presence of information about or links to such parties on the Platform.

17. Termination

Xomini reserves the right to terminate or suspend your access to the Platform at any time, with or without cause and with or without notice. Upon termination, your right to use the Platform will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

18. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in India.

Any disputes and differences arising in connection with these Terms shall be settled by Arbitration in accordance with the Arbitration and Conciliation Act, 1996. All proceedings shall be conducted in English. The venue of Arbitration shall be in India. The award of the arbitrator shall be final and binding on the parties.

19. Force Majeure

Xomini shall not be liable for any failure or delay in performance resulting from any governmental action, fire, flood, earthquake, epidemic, pandemic, power failure, network failure, technical glitch, riot, explosion, embargo, strikes, terrorist act, labor or material shortage, transportation interruption, or any other condition beyond our reasonable control.

20. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the validity, legality, and enforceability of the remaining provisions shall not be affected or impaired. The invalid provision shall be replaced with a valid, enforceable provision that most closely matches the intent of the original.

21. Entire Agreement

These Terms, together with the Privacy Policy and any other policies published on the Platform, constitute the entire agreement between you and Xomini regarding your use of the Platform and supersede all prior written or oral communications, understandings, or agreements regarding the subject matter.
